NOMINEE STRUCTURE
Our investment manager client did not have regulatory permissions to hold client monies, but wanted to assist its clients with investment into high yielding high value secured syndicated loans.
We created a whole nominee structure to allow it to do that via Gibraltar, and managed all drawdowns, interest distributions and cost allocations, as well as the documentation, investor notifications and transaction monitoring.
VAT FREE MEMBERSHIP
A client wanted a home to base the legal entity to manage a classic car club. Cornwalls legal and tax team determined that a Gibraltar based unincorporated association, with a Gibraltar treasurer, was the optimum vehicle. The law in Gibraltar allowed for certainty (and parity with the UK) that it was not a regulated activity of a collective investment scheme.
Cornwalls was able to create sufficient substance in Gibraltar for the membership fees to be free of VAT in UK (and other territories) where the members are based.
